These Terms & Conditions (“Terms”) govern your download, installation, access to, and use of the SEO AI Audit Tool WordPress plugin and any related premium add-ons, services, and documentation (collectively, the “Plugin”). By installing or using the Plugin, you agree to these Terms.
1) Definitions
- Provider, we, us, our: The team operating and distributing the SEO AI Audit Tool WordPress plugin.
- You, your, Customer: The individual or legal entity that downloads, installs, or uses the Plugin.
- Site: A single WordPress installation (including sub-directories and sub-domains of that installation).
- License Key: The key issued to unlock paid features and validate plan limits.
- Support: Technical assistance offered by us under Section 10 below.
2) License Grant & Scope
- The Plugin is licensed, not sold. Upon payment (for paid plans) and/or activation, we grant you a non-exclusive, non-transferable, revocable license to use the Plugin on the number of Sites that corresponds to your plan (e.g., Free = 1 site; Pro = 1 site; Agency = up to 25 sites), for the term of your plan.
- You may not resell, sublicense, redistribute, rent, lease, reverse engineer, or otherwise attempt to derive source code from the Plugin except to the extent permitted by applicable law.
- You may customize the Plugin within your own Sites and environments for your own internal purposes.
3) Plans, Billing & Renewals
- Plan options and prices are shown at the time of purchase. Taxes may apply.
- Unless explicitly stated otherwise at checkout, renewals require your active consent.
- Failure to renew will revert your installation to the Free/limited features. Historical data stored in your WordPress database typically remains, but access to paid features may cease until renewed.
4) Third-Party Services & “BYOK”
- Certain features may rely on third-party services (e.g., OpenAI, Google Search Console, Ahrefs) and/or your own Bring-Your-Own-Key (BYOK) API credentials.
- You are solely responsible for: (a) complying with any third-party terms, (b) any usage costs associated with your keys/accounts, and (c) the accuracy, availability, and reliability of third-party data/services.
- We do not control third-party changes, quotas, or outages and are not liable for resulting impacts on the Plugin.
5) Data, Privacy & Security
- The Plugin primarily stores analysis data within your WordPress database. You are responsible for your Site’s security, backups, and access controls.
- Do not input sensitive or regulated personal data into the Plugin.
- Our separate Privacy Policy explains how we handle any information we directly collect (e.g., via our website, member portal, or support channels).
6) Acceptable Use
You agree not to use the Plugin to:
- Violate any laws, infringe IP rights, or distribute malicious code.
- Abuse rate limits or attempt to bypass licensing or plan restrictions.
- Generate or disseminate illegal, harmful, or abusive content.
We may suspend or terminate licenses for violations, abuse, or fraud.
7) Compatibility & Updates
- We aim to maintain compatibility with current, supported versions of WordPress, PHP, and major plugins/themes, but cannot guarantee compatibility across all environments.
- We may release updates, fixes, or changes to features at our discretion. You are responsible for testing updates in your environment and maintaining backups.
8) Intellectual Property
- The Plugin (including its code, branding, documentation, and design) is protected by copyright and other IP laws.
- You retain rights to your content and data. Providing feedback or suggestions grants us a perpetual, royalty-free license to use that feedback to improve the Plugin.
9) 14-Day Return Policy (Strict)
We offer a strict 14-day money-back guarantee from the date/time of purchase shown on your receipt:
- How to request: You must submit your refund request through our Support Contact Form at https://seo-ai-audit-tool.designful.ca/#support. Requests sent by direct email or social media will not be actioned (see Support policy below).
- Eligibility: Provide the order email, order ID, and confirm you have deactivated and removed the license from all Sites.
- Exclusions:
- Requests made after day 14 are not eligible.
- Partial/prorated refunds are not offered.
- Renewals, upgrades/downgrades, and add-on purchases are non-refundable after 14 days.
- Purchases via resellers/marketplaces must be refunded by the original seller per their policy.
- Upon a refund, your license is terminated and access to paid features ceases. Any chargeback/dispute will result in immediate license revocation.
10) Support Policy (Channels, Hours, SLA)
Do not send us direct emails for support. To receive assistance, all support must originate from one of the following:

- Live Chat: Available on our main website and within the Plugin (in-app)
Hours: Monday–Friday, 9:00 AM–4:00 PM (EST), excluding holidays.
Target Response: We strive to respond to each support request within 24 business hours, but actual times depend on current queue and support load.
Scope of Support (what’s included):
- Installation guidance, license activation, and Plugin configuration.
- Troubleshooting Plugin errors and feature usage questions.
- Best-effort guidance on known conflicts with common themes/SEO plugins.
Out of Scope (examples):
- Custom development, SEO consulting, copywriting, or CRO services.
- Debugging or fixing issues caused by your custom code, server configuration, third-party plugins/themes, or third-party service outages/quotas.
- Site administration, backups, and security hardening.
We may request temporary access or logs to diagnose issues; you are responsible for providing safe, revocable access and backups.
11) Availability & Maintenance
- The Plugin and our websites/support systems may be unavailable during maintenance, updates, or due to internet/hosting issues.
- We are not liable for downtime, data loss, or lost business arising from such events. Always keep current backups of your Site.
12) Warranties & Disclaimers
THE PLUGIN IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLUGIN WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.
13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS) ARISING FROM OR RELATED TO THESE TERMS OR THE PLUGIN, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM WILL NOT EXCEED THE FEES YOU PAID US FOR THE PLUGIN DURING THAT PERIOD (OR USD $50 IF YOU USE THE FREE PLAN).
14) Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your: (a) use or misuse of the Plugin, (b) violation of these Terms, or (c) infringement of any third-party rights.
15) Term & Termination
- These Terms remain in effect while you use the Plugin. We may suspend or terminate your license for cause (e.g., abuse, fraud, violations, non-payment).
- Upon termination, your rights under the license cease and you must remove the Plugin and related files from your Sites.
16) Changes to the Plugin or Terms
- We may modify features, pricing, or these Terms at any time. When material changes occur, we will update the “Last updated” date and, where reasonable, provide notice. Continued use constitutes acceptance of the revised Terms.
17) Export Compliance & Sanctions
You represent that you are not located in or a resident of a country or territory subject to comprehensive sanctions and that you will not use the Plugin in violation of export control laws.
18) Governing Law & Venue
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules. The parties agree to the exclusive jurisdiction and venue of the courts located in Ottawa, Ontario for any dispute arising out of or relating to these Terms.
19) Miscellaneous
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No Waiver: Our failure to enforce a provision is not a waiver of our rights.
- Assignment: You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale.
- Entire Agreement: These Terms (and any referenced policies) constitute the entire agreement regarding the Plugin and supersede prior or contemporaneous understandings.
